CONTRACT OF RECORD
Agency service Agreement on currency notes of WebMoney system

Public limited company Fogot (FOGOT AS), hereinafter referred to as the AGENT, on behalf of management board member Olga Goldshleger, acting under authority of Charter on the one hand and any private or legal entity, which accepts clauses and provisions of this Agreement and conducts compulsory activities, stipulated in the Agreement, hereinafter referred to as the Customer on the other hand, reached the Agreement on the following:

1. Subject of Agreement
The Customer authorizes, while the Agent conducts (for remuneration) on its behalf and on expense of the Customer legal and factual deeds aimed on rights transfer to the Customer (or vice versa) for use of WebMoney currency notes.

2. Terms and provisions of Agreement
The parties agreed to employ following below listed terms with the corresponding definition both in frames of this particular agreement and in course of correspondence:
  - 'WM' - WebMoney currency notes.
  - 'WMZ' - WebMoney currency notes - nominal equivalent of USD.
  - 'WME' - WebMoney currency notes - nominal equivalent of EUR.
  - 'WMR' - WebMoney currency notes - nominal equivalent of RUB.
  - 'WMID' - registration number, which user has received at registration in WebMoney system.
  - 'USD' - USA dollar.
  - 'EUR' - euro.
  - 'RUB' - Russian rouble.
  - 'exchange of USD into WMZ', 'exchange of EUR into WMZ' - are the Agent's activities for transferring rights of usage of WebMoney system currency notes, being a nominal equivalent of USD, to the Customer.
  - 'exchange of WMZ into USD', 'exchange of WMZ into EUR' - are the Agent's activities for receiving from the Customer rights of usage of WebMoney system currency notes, being a nominal equivalent of USD.
  - 'exchange of EUR into WME' - are the Agent's activities for transferring rights of usage of WebMoney system currency notes, being a nominal equivalent of EUR, to the Customer.
  - 'exchange of WME into EUR' - are the Agent's activities for receiving from the Customer rights of usage of WebMoney system currency notes, being a nominal equivalent of EUR.
  - 'exchange of EUR into WMR' - are the Agent's activities for transferring rights of usage of WebMoney system currency notes, being a nominal equivalent of RUB, to the Customer.
  - 'exchange of WMR into EUR' - are the Agent's activities for receiving from the Customer rights of usage of WebMoney system currency notes, being a nominal equivalent of RUB.

3. Rule of norm and amount of Agreement
  3.1. Transfer of amounts by the Customer to the Agent means entire and unconditional acceptance of provisions stipulated in this Agreement.
  3.2. The amount of the Agreement, including Agent's commission, is understood as the amount of received payment.
  3.3. The Agreement obtains validity in case of completed transaction of the Agreement amount from the Customer to the Agent.
  3.4. The Agreement receives unique number, which corresponds to Customer's purse number. Date of signing the Agreement is the date of transferring agreement amount from Customer to Agent.

4. Conditions of exchanging EUR into WME by banking transfer
  4.1. The Customer forwards properly filled request to the Agent and receives message, containing the Agent's banking details for filling in the payment order.
  4.2. The Customer forwards to the Agent the amount in EUR for the exchange, indicating its E-purse number in payment order designation. The Agent obliges to transfer WME to this E-purse.
  4.3. In case a payment is transfered from the country with other currency (not euro), the Agent's bank deducts 6 EUR out of received amount as payment for incoming international order.
  4.4. The Agent deducts its remuneration in amount of 3%, WebMoney system commission in amount of 0,8% (+0,05 WME) out of exchangeable amount and forwards the balance to the E-purse number, provided in payment order.
  4.5. The sum of payments from the Customer cannot exceed 12 500 EUR per day.
  4.6. The minimum limit for the exchange is 10 EUR. The maximum limit for the exchange is 12 500 EUR.

5. Conditions of exchanging WME into EUR by banking transfer
  5.1. The Customer forwards properly filled request to the Agent and receives invoice, which contains Customer's banking details.
  5.2. The Customer transfers WME to the Agent's purse E334760951518 by payment against invoice produced by the Agent. The Agent has just cause and is obliged to consider the banking details, contained in paid invoice as the property of the Customer and should execute EUR transfer exactly according to those banking details.
  5.3. The Agent deducts its remuneration in amount of 4% of received sum, deducts banking rate and transfers the balance to beneficiary's banking details indicated in paid invoice.
  5.4. The Agent indicates No. and signing date of the Agreement in accordance with p.3.4.
  5.5. The sum of transactions from the Customer cannot exceed 12 500 WME per day.
  5.6. The minimum limit for the exchange is 10 WME. The maximum limit for the exchange is 5 000 WME.

6. Conditions of exchanging USD into WMZ by banking transfer
  6.1. The Customer forwards properly filled request to the Agent and receives message, containing the Agent's banking details for filling in the international payment order. The Agent can refuse the Customer in execution of exchange, in case the Agent's bank regulations for accepting payments in USD from country indicated by the Customer forbid such activity.
  6.2. The Customer forwards to the Agent the amount in USD for the exchange, indicating its Z-purse number in payment order designation. The Agent obliges to transfer WMZ to this Z-purse. In the payment order, the Customer should indicate either condition of shared covering of expenditures on transaction or covering on originator expense.
  6.3. In case of shared covering of expenditures, the Agent's bank deducts 10 USD out of received amount as payment for incoming international order.
  6.4. The Agent deducts its remuneration in amount of 3%, WebMoney system commission in amount of 0,8% (+0,05 WMZ) out of exchangeable sum and forwards the balance to the Z-purse number, provided in payment order.
  6.5. The sum of payments from the Customer cannot exceed 15 000 USD per day.
  6.6. The minimum limit for the exchange is 20 USD. The maximum limit for the exchange is 15 000 USD.

7. Conditions of exchanging WMZ into USD by banking transfer
  7.1. The Customer forwards properly filled request to the Agent and receives invoice, which contains Customer's banking details.
  7.2. The Customer transfers WMZ to the Agent's purse Z452614199092 by payment against invoice produced by the Agent. The Agent has just cause and is obliged to consider the banking details, contained in paid invoice as the property of the Customer and should execute USD transfer exactly according to those banking details.
  7.3. The Agent deducts its remuneration in amount of 3% of received sum, deducts banking rate and transfers the balance to beneficiary's banking details indicated in paid invoice.
  7.4. The Agent indicates No. and signing date of the Agreement in accordance with p.3.4.
  7.5. The sum of transactions from the Customer cannot exceed 15 000 WMZ per day.
  7.6. The minimum limit for the exchange is 20 WMZ. The maximum limit for the exchange is 15 000 WMZ.

8. Conditions of exchanging EUR into WMZ by banking transfer
  8.1. The Customer forwards properly filled request to the Agent and receives message, containing the Agent's banking details for filling in the payment order.
  8.2. The Customer forwards to the Agent the amount in EUR for the exchange, indicating its Z-purse number in payment order designation. The Agent obliges to transfer WMZ to this Z-purse.
  8.3. In case a payment is transfered from the country with other currency (not euro), the Agent's bank deducts 6 EUR out of received amount as payment for incoming international order.
  8.4. The Agent deducts its remuneration in amount of 3% and converts the balance into WMZ. The parties agreed that cross-rate of EUR to WMZ should correspond to cross-rate of EUR to USD according to rates of SEB Pank (cross-rate of sale of non-cash dollars) at the moment of transaction execution by the Agent.
  8.5. The Agent deducts the commission of WebMoney system in amount of 0,8% (+0,05 WMZ) out of exchangeable amount and forwards the balance to Z-purse number, indicated in payment order by the Customer.
  8.6. The sum of payments from the Customer cannot exceed 12 500 EUR per day.
  8.7. The minimum limit for the exchange is 10 EUR. The maximum limit for the exchange is 12 500 EUR.

9. Conditions of exchanging WMZ into EUR by banking transfer
  9.1. The Customer forwards properly filled request to the Agent and receives invoice, which contains Customer's banking details.
  9.2. The Customer transfers WMZ to the Agent's purse Z452614199092 by payment against invoice produced by the Agent. The Agent has just cause and is obliged to consider the banking details, contained in paid invoice as the property of the Customer and should execute EUR transfer exactly according to those banking details.
  9.3. The Agent deducts its remuneration in amount of 3% and converts the balance into EUR. The parties agreed that cross-rate of EUR to WMZ should correspond to cross-rate of EUR to USD according to rates of SEB Pank (cross-rate of purchase of non-cash dollars) at the moment of EUR transfer by the Agent.
  9.4. The Agent deducts banking rate and transfers the balance to beneficiary's banking details indicated in paid invoice.
  9.5. The Agent indicates No. and signing date of the Agreement in accordance with p.3.4.
  9.6. The sum of transactions from the Customer cannot exceed 15 000 WMZ per day.
  9.7. The minimum limit for the exchange is 10 WMZ. The maximum limit for the exchange is 15 000 WMZ.

10. Conditions of exchanging EUR into WMR by banking transfer
  10.1. The Customer forwards properly filled request to the Agent and receives message, containing the Agent's banking details for filling in the payment order.
  10.2. The Customer forwards to the Agent the amount in EUR for the exchange, indicating its R-purse number in payment order designation. The Agent obliges to transfer WMR to this R-purse.
  10.3. In case a payment is transfered from the country with other currency (not euro), the Agent's bank deducts 6 EUR out of received amount as payment for incoming international order.
  10.4. The Agent deducts its remuneration in amount of 3% and converts the balance into WMR. The parties agreed that cross-rate of EUR to WMR should correspond to cross-rate of EUR to RUB according to rates of SEB Pank (cross-rate of sale of non-cash dollars) at the moment of transaction execution by the Agent.
  10.5. The Agent deducts the commission of WebMoney system in amount of 0,8% (+1,50 WMR) out of exchangeable amount and forwards the balance to R-purse number, indicated in payment order by the Customer.
  10.6. The sum of payments from the Customer cannot exceed 2 500 EUR per day.
  10.7. The minimum limit for the exchange is 10 EUR. The maximum limit for the exchange is 1 000 EUR.

11. Conditions of exchanging WMR into EUR by banking transfer
  11.1. The Customer forwards properly filled request to the Agent and receives invoice, which contains Customer's banking details.
  11.2. The Customer transfers WMR to the Agent's purse R014781152738 by payment against invoice produced by the Agent. The Agent has just cause and is obliged to consider the banking details, contained in paid invoice as the property of the Customer and should execute EUR transfer exactly according to those banking details.
  11.3. The Agent deducts its remuneration in amount of 5% and converts the balance into EUR. The parties agreed that cross-rate of EUR to WMR should correspond to cross-rate of EUR to RUB according to rates of SEB Pank (cross-rate of purchase of non-cash roubles) at the moment of EUR transfer by the Agent.
  11.4. The Agent deducts banking rate and transfers the balance to beneficiary's banking details indicated in paid invoice.
  11.5. The Agent indicates No. and signing date of the Agreement in accordance with p.3.4.
  11.6. The sum of transactions from the Customer cannot exceed 200 000 WMR per day.
  11.7. The minimum limit for the exchange is 250 WMR. The maximum limit for the exchange is 60 000 WMR.

12. Terms and validity of agreement
  12.1. The Agreement is valid since moment of signing in accordance with p.3 and until entire execution of Agent's obligations under this agreement.
  12.2. Term of agreement is 48 hours. Weekends and banking holidays should not be taken into account.
  12.3. Term of agreement is seven days for privileged exchange.
  12.4. Date of agreement execution is the date of Agent's transaction of amount stipulated in this Agreement.
  12.5. In exceptional instances, the Agent is authorized for unilateral prolongation of agreement term for the period up to 72 hours with notification of the Customer on circumstances, which are the reason for such situation.

13. Special terms
  13.1. In case Agent's bank or WebMoney system will refuse/forbid to execute the payment (transaction), the Agent should advise the Customer and provide safety of amounts sent by the Customer until total clarification of circumstances. In this case, the Agent is relieved from any obligations in terms of the compliance with Agreement provisions.
  13.2. The Agent has a right to ask the payment conformation from the Customer.
  13.3. In the case of disfigurement of the contract's conditions while executing the payment or existence of other valid doubtful points concerning the validity of payment the due date can be prolonged till the elucidation of all cicurmstancies.
  13.4. The Agent is authorized on its own disposal to decrease the commission charges rates both for certain category of customers and for the certain time period.
  13.5. A person using the services of Fogot AS the first time shall submit an application and a copy of personal or registration document before making an exchange. Term of exchange for new customer is calculated from the moment of last event coming from the following: submission of requested documents or receipt of sum for exchange.
  13.6. In case of making cash payment in amount exceeding 6 400 EUR (or equivalent in any other currency) the Customer shall submit to the Agent the Declaration on origin of funds.
  13.7. The Customer can use only own purse.

14. Extraordinary cancellation of the agreement.
  14.1. The Customer has the right to refuse from participating in the Agreement and demand the return of Agreement amount except certain expenses of the Agent. The Customer according to the Agreement might use such right only before the Agent completed transaction.
  14.2. Upon a good reason, the Agent is entitled to unilaterally and promptly cancel the Agreement if the Customer breaches contractual obligations fundamentally.
  14.3. The following circumstances are considered as a good reason:
  14.3.1. in identifying the person or in the performance of other due diligence requirements pursuant to law, the person or the legal person related to him/her has submitted to the Agent incorrect or insufficient data or documents or refuses the submission and updating thereof;
  14.3.2. the person or a legal person related to him or her has not presented to the sufficient data or documents required by the Agent in order to identify himself or herself or to certify the legal origin of his or her financial resources or if the presented documents and data do not eliminate the Agent's suspicion of possible connections between the Customer's business activities and illegal transactions or money laundering or terrorist financing;
  14.3.3. the document presented to the Agent by the person bears elements of forgery or does not conform to the requirements of the Agent for any other reason;
  14.3.4. the Agent suspects the person of money laundering or terrorist financing or the Agent has doubts about the use of front men by the Customer in performing transactions;
  14.3.5. actions/behaviour of the Client have damaged or can damage to the Agent;
  14.3.6. some other cases provided by law.

15. The obligation of parties and arbitration
  15.1. All financial losses resulted due to wrong indication of banking or net details by the Customer, should be considered the Customer's fault.
  15.2. The parties agreed that the following Agreement and procedure of its execution could not be in any way (let it be even indirectly) associated with any other contracts or obligations of the Customer.
  15.3. Disputes between parties of the Agreement should be solved in any, mutually chosen, non-judicial order.
